Terms of Service
Last updated: 2026-08-05
Version: 1.0.0-mvp
These Terms of Service (“Terms”) govern access to and use of CoreOfDiscovery (the “Service”), including the website, APIs, MCP tools, and related software. By creating an account, using an API key, calling our endpoints, or checking the decision-support acknowledgment when logging a decision, you agree to these Terms.
This document is product terms for an early commercial / MVP service. It is not a substitute for advice from your own lawyer. If you need a signed MSA for enterprise, contact us.
1. Who we are and what the Service is
CoreOfDiscovery is a decision-support and calibration tool. It helps people and software agents:
- log decisions and options;
- compute scores such as DEFF;
- track calibration (for example Brier scores);
- run optional LLM-assisted coaches and path tools.
The Service does not make decisions for you. You (or your organization, or your agent under your control) remain solely responsible for every choice, action, and outcome.
2. Decision-support only — not professional advice
The Service, including DEFF scores, rankings, coaches, premortems, path simulations, ERP “Discern Says” cards, agent/MCP responses, and any charts or exports, is provided for informational and decision-support purposes only.
It is not:
- legal, medical, clinical, or mental-health advice;
- financial, tax, accounting, or investment advice;
- employment, HR, or hiring advice that creates an employment decision on our behalf;
- an insurance, credit, or regulated underwriting product;
- a substitute for professional judgment, diligence, or compliance processes required in your industry.
You must not treat outputs as guarantees of future results. Past calibration or reference-class patterns do not ensure future performance.
3. No liability for decisions or outcomes
To the maximum extent permitted by law:
- You own your decisions. Any hire, fire, purchase, investment, product ship, legal strategy, medical-adjacent judgment, or other real-world action is yours alone (or your organization’s), even if you used the Service while deciding.
- We are not liable for reliance. We are not responsible for losses, damages, costs, or claims arising from reliance on scores, rankings, LLM text, simulations, webhooks, or agent outputs—including lost profits, lost data, business interruption, reputational harm, or third-party claims.
- No warranty of accuracy. We do not warrant that calculations, embeddings, model outputs, or integrations (ERP, email, payments) are error-free, complete, or suitable for any particular purpose. THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.”
- Limitation of liability. Our aggregate liability arising out of or related to the Service will not exceed the greater of (a) amounts you paid us for the Service in the three (3) months before the claim, or (b) one hundred U.S. dollars (USD $100), except where liability cannot be limited under applicable law (for example, fraud or certain personal injury claims).
Some jurisdictions do not allow certain disclaimers; in those cases, our liability is limited to the fullest extent allowed.
4. Acknowledgment when logging decisions
When you log or resolve a decision in the product UI, you may be required to check a box confirming that:
- outputs are decision-support, not advice or a decision made for you;
- you remain responsible for any action you take;
- you have read these Terms and the Privacy Policy.
We may record the acknowledgment version and timestamp with the decision or audit trail for compliance and product integrity. API and MCP callers agree to the same substance of this section by using the Service.
5. Accounts, organizations, and agents
- You must provide accurate account information and keep credentials secure.
- Organization admins are responsible for seats, invites, and member conduct.
- API keys and agents act as you. Activity via API key, x402, or MCP is attributed to the key owner / organization. You are responsible for agent behavior and for not exposing keys.
- Do not submit data you are not authorized to process (including third-party personal data without a lawful basis).
6. Acceptable use
You agree not to:
- reverse engineer, overload, or disrupt the Service except as allowed by law;
- use the Service to violate law, discriminate unlawfully, or automate illegal decisions;
- misrepresent Service outputs as certified professional opinions;
- probe other tenants’ data or bypass access controls;
- resell the Service without a written agreement.
We may suspend or terminate access for abuse, non-payment, or legal risk.
7. AI-assisted features
Some features use third-party large language models or embeddings. AI outputs can be wrong, incomplete, or biased. AI-assisted content is labeled where practical. You must review AI suggestions before relying on them. You can reduce LLM use via privacy / copilot settings where available.
8. Payments
- Human plans may be billed via Stripe (subscriptions, seats).
- Agents may pay per request via x402 (USDC on supported networks) according to published pricing.
- Fees are generally non-refundable except where required by law or stated otherwise at purchase.
- Failed payment may trigger grace periods and plan downgrades as described in product billing docs.
9. Intellectual property
We retain rights in the Service, branding, and software. You retain rights in content you submit (decisions, notes, files). You grant us a limited license to host, process, and display that content solely to provide and improve the Service, subject to the Privacy Policy.
10. Privacy
Personal data is handled under our Privacy Policy. By using the Service you also agree to that policy.
11. Changes to the Service and Terms
We may change features, pricing, or these Terms. Material Terms changes will be posted with an updated “Last updated” date. Continued use after the effective date constitutes acceptance. For paid plans, we may provide additional notice where required.
12. Termination
You may stop using the Service and delete your account subject to the Privacy Policy and retention rules. We may terminate or suspend access for breach, risk, or discontinuation of the MVP. Provisions that by nature should survive (including Sections 2–4, 9, and liability limits) survive termination.
13. Governing law
Unless a separate written agreement says otherwise, these Terms are governed by the laws of the State of Delaware, USA, excluding conflict-of-law rules, and disputes will be brought in courts located in Delaware, except where consumer protection laws require otherwise.
14. Contact
Questions about these Terms: use the support contact published on the site or `help@` on your production domain when configured.
